Reseller’s customers will have access to the Verifone Payment Gateway (such, gateway or any successor transaction gateway, the “Payment Gateway”), which provides transaction routing to the processor or third-party gateway selected by Reseller’s customer (and provided that Verifone supports such processor or gateway, including with respect to a particular Verifone payment device) to enable various transaction types.
Verifone’s Secure Commerce Application is a terminal application designed for payment processing on Verifone payment devices, including credit, debit, gift, and other electronic payments.
Note: Neither Verifone nor the Point Solution (including the Secure Commerce Application) is responsible for, or capable of, printing receipts. Reseller, its customer and/or its or their point of sale solution providers are responsible for printing a properly formatted receipt compliant with the Fair and Accurate Credit Transactions Act (“FACTA”). Verifone shall not be responsible for any information that is ultimately printed or displayed on a customer’s receipts. The foregoing paragraph shall not apply where for the Point Solution, (a) Reseller’s customer is using: (i) a standalone Verifone Device (i.e., the Device is not integrated to a point of sale), and (ii) such Device has an embedded receipt printer, and (b) Reseller’s customer has the latest software updates installed on such Verifone payment device.
Data encryption services provide encryption of the sensitive credit/debit card track data elements from the payment device to the Payment Gateway, at which point the data elements are decrypted and sent to the processor or third-party gateway selected by Reseller’s customer (and provided that Verifone supports such processor or gateway). Transactions returned from the processor or gateway are tokenized by Verifone and the tokenized transactions are then returned to the customer’s payment device.
Verifone will provide level one help desk support to Reseller’s customers directly for the Point Solution, and Reseller’s customers will contact Verifone with issues related to the Services, Software, and Rental Devices (if any). Verifone will also manage boarding Reseller’s customers devices onto and deactivating devices from Verifone’s Payment Gateway and will handle certain administrator functions within the Estate Manager Service, including hierarchy design, device set-up, maintaining Reseller’s customer’s file library, download scheduling, and processing support ticket requests.
Verifone will make available software updates for the Software, including error corrections, feature enhancements, and other compliance and general industry regulation updates, if and when such updates are made generally available by Verifone to its Point Solution customers (“Software Updates”). Reseller is responsible for obtaining the Software Updates from Verifone, deploying/installing the Software Updates in the licensed Verifone payment devices for all of its customers and for ensuring that such devices have the most current version of the Software installed. Any Software Updates provided shall be licensed to Reseller’s customer under the applicable license terms set forth in Merchant Agreement.
Verifone will provide initial key injection for Rental Devices prior to shipment. Reseller’s customers will have access to Verifone’s remote key loading services through the Estate Management Service. Such services shall be provided upon Reseller’s request for each such customer.
Note: Additional fees apply for each remote key payload requested.
Verifone, or Verifone’s designated fulfillment provider, will provide initial configuration, deployment and shipment of all Rental Devices, with ground freight paid by Verifone.
For certain payment devices, the VeriShield Protect terminal application is installed in each Rental Device prior to shipment.
BPP: The Buyer Protection Plan (“BPP”) is provided for multi-lane, countertop and PIN-pad series Rental Devices.
Reseller or its customer may return a defective covered Rental Device to Verifone for repair during the Service Term for such device pursuant to Verifone’s MRA process in accordance with Section 2(f) above, at the returning party’s expense. Upon receipt of such Rental Device during the Service Term, Verifone shall, at its expense, (1) in Verifone’s sole discretion, repair or replace such Rental Device, and (2) ship such Rental Device to return it back to the location designated by Reseller pursuant to Verifone’s MRA process, at Verifone’s expense.
BPP is a service offered by Verifone that provides coverage for the following types of damage to Rental Devices (which damage is not covered by Verifone’s standard warranty for its devices): (i) damage caused by unintentional misuse or accident (such as droppage or liquid damage), subject to Reseller and its customers’ compliance with Verifone’s published guidelines for cleaning its payment devices (available at www.verifone.com/en/us/insight/how-clean-verifone-devices), (ii) damage caused by acts of nature such as floods, fire, or lightning damage, and (iii) replacement of worn or scratched cases and keys and scratched or tarnished lenses, in each case subject to Verifone’s performance standards.
BPP is limited to no more than 20% of all BPP-covered devices returned to Verifone during a particular Verifone fiscal quarter and is not available for purchase with Devices used in a mobile or portable capacity. Priority (rush) repair services and expedited return shipping are not provided with the BPP Services. Out of Scope repairs for BPP-covered Rental Devices in excess of such percentage are subject to Verifone’s standard Out of Scope repair fee for the applicable Rental Device.
Device defects resulting from or caused by (i) malicious or intentional misuse or damage by Reseller or a customer; (ii) Reseller or a customer, or another third-party provider’s products or components; and (iii) any force majeure events, are not covered under the BPP Services under any circumstances.
Repair Services: Repair Services are provided for mobile and portable series Rental Devices.
For Repair Services, Reseller or its customer may return a covered Rental Device to Verifone for repair during the Service Term for such device pursuant to Verifone’s MRA process in accordance with Section 2(f) above, at the returning party’s expense. Upon receipt of any such device during the Service Term, Verifone shall, at its expense, (i) in Verifone’s sole discretion, repair or replace such Rental Device, and (i) ship such repaired or replaced Rental Device back to the location designated by Reseller pursuant to Verifone’s MRA process, at Verifone’s expense. Out of Scope repairs are not covered under the Repair Services and are subject to Verifone’s standard Out of Scope repair fee for the applicable Rental Device.
Out of Scope: Out of Scope repairs are those repairs needed due to (i) improper installation by a party other than Verifone, including failure to install the Rental Device in accordance with Verifone’s installation guide, (ii) use of the Rental Device with non-Verifone software, products, interfaces, or supplies, including damage to LCD screens from “burn-in” caused by non-Verifone software; (iii) misuse, abuse, vandalism, negligence, and the dropping or hitting of a Rental Device; (iv) tampering with or damaging the Rental Device’s security label; (v) food damage, liquid spillage, or other wetting of the Rental Device, including as a result of a failure to comply with Verifone’s published guidelines for Rental Device cleaning;
(vi) failure of electrical power, air conditioning or humidity control (other than while in Verifone’s possession); (vii) damage from acts of nature such as fire, flood, or lightning; (viii) loss or damage to a Rental Device in transit. Cosmetic damages (such as scratches, stains, paint, or stickers) are not covered.
No Trouble Found: In the event that Verifone determines that any Rental Device returned by Reseller or its customer hereunder is not defective in workmanship or materials (i.e., there is no trouble found (“NTF”)), Verifone shall clean and test such Rental Device and ship such Rental Device back to the location designated by Reseller pursuant to Verifone’s MRA process, at Verifone’s expense. However, in the event that Reseller and its customers NTF repairs for any Rental Device type collectively exceed ten percent (10%) of all such Rental Devices returned by Reseller and its customers for repair in any quarterly period, Verifone may charge Reseller Verifone’s then current fee for Clean and Test services, plus shipping, on all such Rental Devices returned by Reseller and its customers for repair in excess of such percentage.
Consumables: BPP and Repair Services do not extend to the provisioning, repair or replacement of consumables, including stylus pens or stylus holders.
Limitations: BPP and Repair Services do not apply to Rental Devices, or components thereof, which have been altered, modified, repaired or serviced in any respect except by Verifone or its representatives.

Reseller’s customer has the option of subscribing to card-based tokenization services that will provide the ability to perform card-based authorization, reverse authorization, refund, post void (for transactions that have not been settled), capture, credit, settlement, balance inquiry, and other payment operations with a token.
Note: Additional fees may apply for token-based operations not related to payment, such as token storage or token lookup.
A replacement Rental Device will be expedited to Reseller’s customer location prior to Verifone receiving the failed Rental Device it is intended to replace. Reseller or its customer shall be responsible for ensuring the failed Rental Device is promptly returned to Verifone and, if the failed Rental Device is not returned to Verifone within sixty (60) days of the request to Verifone for the expedited replacement Rental Device, Verifone will invoice Reseller or the customer, as applicable its list price for such failed device, plus an administration fee of $75.00 (collectively, the “PEP Replacement Fee”). Verifone will not return to Reseller or the customer any failed Rental Device received under the Priority Exchange Services.
Priority Exchange Services are only available to customers in the United States.
